Terms of Service

These terms govern your access to and use of Deeporax. the website at deeporax.com, our APIs, and everything we ship around them.

  • Deeporax is a B2B SaaS tool that turns publicly available YouTube channel data into AI-powered insights. hooks, retention curves, tactics, and brief scripts. so creators can study their competitors.
  • Start with a 14-day free trial (1 competitor, no credit card). To keep going after day 14, upgrade to Pro ($9.99/mo) or Studio ($19.99/mo) and pay monthly through Stripe. No annual lock. cancel anytime from your account.
  • Don't scrape us, don't resell our outputs as your own product, don't use Deeporax to train competing models, and don't break YouTube's rules on our behalf.
  • We own Deeporax. You own what you put into it and what you publish. We get a narrow license to operate the service for you.

1. Acceptance of these terms

By creating an account, clicking a button that says something like "I agree," or otherwise accessing Deeporax, you agree to these Terms of Service (the "Terms"). If you're using Deeporax on behalf of a company or other entity, you're confirming you have authority to bind that entity, and "you" in these Terms means both you personally and that entity.

These Terms form a binding contract between you and Deeporax, Inc., a Delaware corporation ("Deeporax," "we," "us," or "our"). If you don't agree with any part of them, don't use the Service.

Service
The Deeporax web application at deeporax.com, our APIs, dashboards, AI features, and any related software or documentation we make available.
Account
The credentialed workspace you (or your organization) use to access the Service, managed via our authentication provider.
Subscription
A paid plan (Pro or Studio). or the 14-day free trial that precedes them. that determines your usage limits and feature access.
Content
Anything you submit, upload, link, or generate through the Service, including channel lists, prompts, notes, exports, and AI-generated outputs.
You / Your
The individual or entity that has accepted these Terms and uses the Service.

2. Who can use Deeporax

Deeporax is built for businesses, creators, and teams. To use the Service you must be at least 18 years old (or the age of majority where you live) and legally capable of entering into a contract. You can't use Deeporax if we've previously banned you, or if doing so would violate U.S. export laws or sanctions.

  • You're responsible for everything that happens under your Account. including activity by employees, contractors, or anyone else you give access.
  • Keep your credentials confidential. Don't share passwords or API keys, and don't let multiple humans hide behind a single seat to avoid plan limits.
  • Tell us promptly at legal@deeporax.com if you suspect unauthorized access to your Account.

3. What the Service does

Deeporax ingests publicly available data from YouTube. videos, public metadata, public transcripts, and related signals. and uses AI to surface patterns: hooks, retention curves, recurring tactics, and short script briefs. The goal is to help creators understand what's working in their niche and on their competitors' channels.

We rely on YouTube's public surfaces and APIs. We don't access private videos, private analytics, or anything behind a YouTube login that isn't yours. We may rate-limit, queue, or temporarily delay ingestion based on platform constraints. that's a normal part of working with third-party data sources.

Deeporax is not affiliated with, endorsed by, or sponsored by YouTube or Google. YouTube is a trademark of Google LLC. Your use of insights derived from YouTube content is your responsibility, including compliance with YouTube's own Terms of Service and any applicable copyright rules.

4. Acceptable use

We keep the rules short and serious. Use Deeporax for its intended purpose. studying public competitor signals to make better videos. and don't do anything in the following list.

  • Scrape, crawl, harvest, or otherwise programmatically pull data out of the Service except via APIs we explicitly provide.
  • Resell, sublicense, white-label, or repackage the Service or its outputs as your own product or insight feed.
  • Use the Service. or its outputs. to train, fine-tune, evaluate, or benchmark any machine learning model that competes with Deeporax.
  • Bypass, disable, or circumvent rate limits, plan limits, authentication, billing controls, or any other technical restriction.
  • Reverse engineer, decompile, or attempt to derive the source code or underlying models of the Service, except where applicable law expressly allows it.
  • Upload or generate content that infringes someone else's intellectual property, violates privacy or publicity rights, or breaks any law.
  • Use the Service to harass, defame, dox, threaten, or otherwise harm people.
  • Probe, scan, or test the security of the Service without our written permission, or interfere with other customers' use.
  • Use the Service in any way that violates YouTube's Terms of Service, Community Guidelines, or developer policies.

Violating these acceptable-use rules is the fastest way to get suspended or terminated. We may act immediately and without a refund if we reasonably believe you've crossed any of these lines. particularly around scraping, model training, or platform abuse.

5. Accounts & security

We use Supabase to handle authentication. You're responsible for keeping your login factors safe and for any activity that occurs under your Account. We may require you to enable additional security measures (like multi-factor authentication) on certain plans or in response to suspected abuse.

  • Provide accurate and current information when you sign up, and keep it updated.
  • Don't impersonate anyone, misrepresent your affiliation, or create accounts to evade a ban or trial limit.
  • If you offboard a teammate, remove their access promptly. we can't do that for you.

6. Subscriptions, billing, and taxes

Deeporax offers a 14-day free trial (1 competitor, no card required) and two paid Subscriptions: Pro ($9.99/month) and Studio ($19.99/month). All paid plans are billed monthly through Stripe. There is no annual contract or lock-in. you can cancel anytime from your account, and your plan will remain active until the end of the current billing period.

  • Auto-renewal: Paid Subscriptions automatically renew each month at the then-current rate until you cancel. By subscribing, you authorize us (through Stripe) to charge your payment method on each renewal.
  • Price changes: We may change Subscription prices. If we raise the price of your plan, we'll give you at least 30 days' notice by email or in-app, and the new price will take effect on your next renewal after that notice period. If you don't want to keep going, cancel before the renewal.
  • Failed payments: If a charge fails, we may retry, drop your workspace to read-only, or suspend access until the balance is paid.
  • Refunds: Monthly fees are non-refundable except where required by law or where we've expressly agreed otherwise in writing.
  • Taxes: Prices don't include taxes. You're responsible for any sales, use, VAT, GST, or similar taxes (other than taxes on our net income), and we may collect and remit them where required.
  • Currency: Unless stated otherwise, all amounts are in U.S. dollars.

7. Free trial

Every new workspace starts with a 14-day free trial. 1 tracked competitor, full AI scoring, and 5 included briefs. No credit card is required and the trial does not auto-convert to a paid plan when it ends.

On day 15, the workspace drops to read-only access (your data and historical briefs stay intact) unless you upgrade to Pro. Workspaces that sit idle in read-only state for an extended period may be deactivated.

8. AI-generated content

Deeporax uses large language models and other AI techniques to generate insights, summaries, hook ideas, retention analyses, and script drafts based on the public YouTube data we ingest. AI output is probabilistic. it can be wrong, biased, out-of-date, or simply weird, even when it sounds confident.

  • Treat AI output as a starting point, not a finished deliverable. Review and edit before you publish, pitch, or rely on anything.
  • You are solely responsible for any video, script, claim, statistic, or business decision you derive from AI output.
  • Don't represent AI output as objective fact, professional advice, or guarantees of performance. Past patterns are not future results.
  • Similar prompts may produce similar outputs across customers. We can't promise the AI-generated text we return to you is unique or won't resemble what we return to someone else.

We make no warranty that AI-generated output is accurate, complete, current, non-infringing, or fit for any specific purpose. If you publish it, that's on you.

9. Intellectual property

We own Deeporax. That includes the website, the app, the APIs, the underlying software, the dashboards, the models we build, the analytics pipelines, the documentation, the trademarks, and everything that isn't your Content. No rights are granted to you except the limited right to use the Service under these Terms.

You own your Content. That includes the channel lists you track, the notes you write, the exports you generate, and the AI-generated outputs we return to you in response to your prompts and configuration. subject to the rights of any underlying third parties (e.g. the original YouTube creators) and to applicable law.

You grant Deeporax a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and otherwise use your Content as needed to operate, secure, support, and improve the Service for you. We may also use aggregated and de-identified data. meaning data that cannot reasonably be used to identify you or your Account. to improve our models, benchmarks, and the Service generally.

If you give us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, without any obligation to you.

10. Confidentiality

Each party may receive non-public information from the other ("Confidential Information"). things like business plans, account configurations, prompts, pricing in non-public deals, and unreleased features. Each party will protect the other's Confidential Information with reasonable care and use it only to perform under these Terms.

Confidential Information does not include information that is publicly available, was already known without restriction, is independently developed, or is rightfully received from a third party without a duty of confidentiality. Either party may disclose Confidential Information if required by law, provided it gives the other party reasonable notice where legally permitted.

11. Suspension & termination

You can cancel your Subscription at any time from your account. Cancellation stops the next renewal. your plan keeps working until the end of the current billing period, and then your workspace drops to read-only (or is deactivated if you'd prefer).

We can suspend or terminate your Account or the Service (in whole or in part) at any time if (a) you breach these Terms, (b) your use poses a security, legal, or platform risk, (c) we're required to do so by law or by an upstream provider (including YouTube or our AI vendors), or (d) we discontinue the Service. Where reasonably possible, we'll give you advance notice. but for serious violations (like the prohibited activities in Section 4), we may act immediately.

On termination, your right to use the Service ends. We may delete your Content after a reasonable retention period. Sections that by their nature should survive termination. including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution. will survive.

12. Disclaimer of warranties

The Service is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, Deeporax disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.

We don't warrant that the Service will be uninterrupted, error-free, secure against every possible threat, or that any specific feature, data point, or AI output will produce a particular business result. We don't warrant that data we ingest from YouTube will be complete, current, or accurate. we surface what's publicly available, and the upstream platform changes constantly.

13. Limitation of liability

To the maximum extent permitted by law, Deeporax and its officers, employees, contractors, and affiliates won't be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages. including lost profits, lost revenue, lost data, lost goodwill, or business interruption. even if we've been advised of the possibility of those damages.

Our total aggregate liability arising out of or related to the Service or these Terms is limited to the greater of (a) the total fees you actually paid to Deeporax in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

If you're on the free trial or in read-only mode (no fees paid in the last 12 months), our maximum liability is capped at one hundred U.S. dollars ($100). These limits apply to all claims, in the aggregate, no matter the legal theory.

14. Indemnification

You'll defend, indemnify, and hold harmless Deeporax and its affiliates, officers, employees, and agents from and against any third-party claims, damages, liabilities, losses, and reasonable legal fees arising out of or related to: (a) your Content, (b) your use of the Service or any AI-generated output you publish or rely on, (c) your violation of these Terms or any law, or (d) your violation of any third party's rights. including YouTube's terms or any creator's intellectual property rights.

We'll let you know about any claim promptly, give you reasonable control over the defense and settlement (as long as the settlement doesn't impose obligations on us without our consent), and cooperate at your expense.

15. Dispute resolution & governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before filing anything formal, you agree to first email us at legal@deeporax.com and give us thirty (30) days to try to resolve the dispute informally. If we can't, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration through a reputable arbitration provider, seated in Delaware, in English, and conducted on an individual basis.

  • You and Deeporax each waive the right to a jury trial and to participate in a class action, class arbitration, or representative proceeding.
  • Either party may still bring an individual claim in small-claims court if it qualifies, or seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
  • If any part of this arbitration provision is found unenforceable, the rest stays in effect, and the courts of Delaware will have exclusive jurisdiction over remaining disputes.

16. Changes to these terms

We may update these Terms from time to time. for example, when we launch new features, change pricing structure, or have to respond to legal or platform changes. When we make a material change, we'll update the "Last updated" date at the top of this page and, for active paid customers, send a heads-up by email or in-app notice at least thirty (30) days before it takes effect (or sooner if the change is required by law).

If you keep using the Service after the new Terms take effect, you've accepted them. If you don't agree, cancel your Subscription before the effective date.
